1. Acceptance of Terms

By downloading, installing, or using the Agrovia application (“App”, “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Agrovia, operated by Jagdeep Singh Dhillon (“we”, “us”, “our”), an unincorporated business operating under the trade name Agrovia in British Columbia, Canada.

2. Eligibility

You must be at least 16 years of age to create an account and use the Service. By using the App, you confirm that you meet this requirement.

If you are using the App on behalf of a farm, business, or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of the Service

Agrovia is a harvest and farm operations management tool that allows users to:

  • Record and manage harvest data and picking sessions
  • Track pickers and their picking activity
  • Log and manage payout entries for pickers
  • Generate and store PDF payout reports

The App requires an account to use and stores your data on cloud infrastructure provided by third-party services including Amazon Web Services (AWS), Railway, and MongoDB Atlas.

4. Account Registration

You must register an account to use the Service. You agree to:

  • Provide accurate and complete registration information
  • Keep your password secure and confidential
  • Notify us promptly if you suspect unauthorized access to your account
  • Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information.

5. Subscription Plans and Billing

5.1 Free Period

The Service is available at no charge until December 31, 2026. Beginning January 1, 2027, a paid subscription will be required to create new records. We will provide at least 30 days' notice before the free period ends.

5.2 Paid Subscription

After the free period, a paid subscription is required to access the Service. The current subscription price is $49.99 CAD per user, per year.

Subscriptions are billed on an annual basis. Pricing is subject to change with at least 30 days' notice prior to your next renewal date.

5.3 Payment Processing

Payments are processed through the respective platform (Apple App Store or Google Play). Your purchase is subject to the payment terms of that platform. We do not store your payment card information.

5.4 Cancellation and Renewal

You may cancel your subscription at any time through your Apple or Google account settings. Cancellation takes effect at the end of your current billing period. We do not offer partial refunds for unused time within a billing period, except where required by applicable law.

Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.

6. Expired Subscriptions: Read-Only Access

If your subscription expires or is cancelled, your account will enter read-only mode. In read-only mode:

  • You may view all previously recorded harvests, picking sessions, pickers, payout entries, and generated PDF reports
  • You may not create, edit, or delete any records
  • You may not generate new PDF reports

Full access is restored upon resubscription. Your data is retained and will not be deleted solely due to an expired subscription, subject to Section 12 (Termination).

7. Data Collection and Privacy

By using the Service, you consent to the collection, storage, and processing of the following information:

  • Account information: name, email address, and any other details provided at registration
  • Operational data: harvest records, picking session logs, picker information, and bucket/unit entries
  • Payout data: payout entries and financial records associated with pickers
  • Generated documents: PDF payout reports, which are stored on cloud servers (AWS)

Your data is stored on servers operated by Amazon Web Services (AWS), Railway, and MongoDB Atlas, which may be physically located in the United States. By using the Service, you acknowledge and consent to this cross-border transfer of data.

We do not sell your personal information to third parties. We use your data solely to operate and improve the Service.

8. Your Data and Content

You retain ownership of all data and content you enter into the App (“User Content”). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely for the purpose of providing the Service to you.

You are responsible for ensuring that the data you enter, including picker personal information and payout records, complies with applicable privacy laws, including the Personal Information Protection Act (BC) and PIPEDA.

9. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the App
  • Upload or transmit malicious code, viruses, or harmful content
  • Use the Service to harass, defraud, or harm any individual
  • Share your account credentials with others outside your authorized organization

10. Intellectual Property

All software, design, trademarks, logos, and content comprising the App (excluding User Content) are the property of Agrovia, operated by Jagdeep Singh Dhillon, and are protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of or licence to any of our intellectual property beyond what is necessary to use the Service as intended.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Any data stored in the Service will be free from loss or corruption
  • The Service will meet your specific business requirements

Your use of the Service is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Agrovia and Jagdeep Singh Dhillon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of data, loss of revenue, or business interruption.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Nothing in this section limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

13. Termination

13.1 By You

You may delete your account at any time via Settings > Account > Delete Account within the App. Before doing so, please note the following:

  • All of your account data, harvest records, picking sessions, pickers, payouts, and PDF payout reports will be permanently deleted.
  • If you are a crew member or admin in a group harvest owned by another user, your account will be removed from that harvest's member list, and any records you created within that group harvest will be anonymized (your identity dissociated from those entries, but the records themselves preserved for the harvest owner).
  • You cannot delete your account while you are the owner of an active group harvest. You must first end the harvest before proceeding with account deletion.
  • Your account and associated data are deleted immediately upon completing the in-app deletion flow. Residual copies in automated backups may persist for a short period before being overwritten, after which no personal data will remain, except where retention is required by applicable law.

13.2 By Us

We reserve the right to suspend or terminate your account, with or without notice, if you:

  • Violate these Terms
  • Engage in fraudulent or abusive behaviour
  • Fail to pay applicable subscription fees

Upon termination by us for cause, access to your data may be revoked immediately. We will make reasonable efforts to provide you an opportunity to export your data prior to termination where circumstances allow.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via the App or the email address associated with your account at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall be resolved in the courts of British Columbia, and you consent to the exclusive jurisdiction of those courts.
